NOTABLE DEALS IN MERGERS AND ACQUISITIONS

• Acting as legal counsel from establishment phase of a Project Company with a luxury High-rise residential project (now called the Sun Avenue), coverage of 4.2ha in Mai Chi Tho – District 2, Ho Chi Minh City since 2013 till deal closing in late of 2015. After completion of shares transfer, AN Legal advised the parties to transfer the whole project to a local Buyer and supporting in project clearance for a bankable loan. AN Legal  has not involved in project’s construction and sales.
• Acting both as deal sourcing and legal counsel from negotiation till deal closing of a medium High-rise residential project (now called the Hausneo of EZ Land) coverage of 1ha in District 9, Ho Chi Minh City since 2013 till deal closing in late of 2017. The Buyer is a private equity fund from Luxembourg who was searching to standardize its first deal in terms of residential project in Ho Chi Minh City. After completion, the Buyer has also proposed to cooperate with AN Legal  in advisory to another private equity fund for other projects in industrial zones (in confidential negotiation).
• Processing M&A clearance procedures for a local Corporation in acquisition a part of a Project Company located in Phu Quoc Island, Kien Giang Province for a luxury resort coverage of 30ha. After framework agreement, a private member of Project Company has been demerged to a new SPV before transferring its entire shares to another private company for construction and operation. AN Legal has advised the whole structure of transaction, negotiation as well as drafting transaction documents and procedure dossier for licensing.
• Going with the Seller as deal structure and legal counsel from negotiation till deal closing of a Sheraton Nha Trang Hotel, in Khanh Hoa province of Vietnam. AN Legal  has proposed structure and CPs, CS for M&A Clearance, Capital Transfer Agreement, Escrow Agreement and carrying out procedures for licensing to complete CPs and CSs.
• Closing M&A deal transactions, particular in project demerge and company demerge of a projects’ group originated from resettlement housing (which were converted into commercial housing) comprising of 30ha in Thu Duc City in the period of before July 1st, 2015, when the Law on Investment 2005 and Law on Real Estate Business 2006 did not permit the concept of project and company demerge to transfer the project in part. The Seller was a notable fund management company and the deal size reached 20% of its real estate investment portfolio; and the Buyer was a listed real estate company on HOSE.
• Joining in others M&A deals in real estate business, since the stage of land clearance, application of investment policy, to the completion stage of granting construction permit to deploy the project; and in the industry of forwarding and logistics, and also production in IZs and EPZs.
